TERMS OF USE
Terms of Use (the "Terms") govern your use of the subscription-based software and related services (the "Software") provided by n3pr ("Company"). By subscribing to, accessing, or using the Software, you agree to be bound by these Terms.

LICENSE GRANT. Company grants you a non-exclusive, non-transferable, limited license to access and use the Software for your business use, subject to the terms and conditions of these Terms and the applicable subscription plan you have selected. The license is granted based on your acceptance of these Terms and payment of the applicable subscription fees.

SUBSCRIPTION AND FEES. Your use of the Software is provided on a subscription basis. You agree to pay all applicable subscription fees as specified at the time of subscription. All fees are non-refundable and non-returnable. Your subscription will automatically renew at the end of each subscription period unless you cancel it in accordance with the cancellation policy specified by Company. Subscriptions are billed annually. Customers will receive a renewal reminder email 30 days before the end of the current subscription period. The subscription will automatically renew unless canceled before the renewal date.

CANCELLATION POLICY. Subscriptions can be canceled at any time. Upon cancellation, customers will retain access to the service until the end of the current billing period. Refunds will not be issued for the remaining period of the subscription.

REFUND POLICY. Refunds are generally not provided for yearly subscriptions. However, exceptions may be made in cases of technical issues that prevent access to the service. Refund requests must be made within 30 days of the subscription start date. To request a refund, customers must contact our customer support team at support@n3pr.com, Refund requests will be reviewed on a case-by-case basis, and approved refunds will be processed within 14 business days to the original payment method.

CUSTOMER SUPPORT. For any questions or issues related to the subscription, customers can contact our support team via email at support@n3pr.com or through our support form at https://app.n3pr.com/support/. Our support team is available during business hours from 8:00 AM to 5:00 PM CST time. Our support team aims to respond to all inquiries within 24 hours during business days. Inquiries received over the weekend or on holidays will be addressed on the next business day.

SERVICE AVAILABILITY & MAINTENANCE. We strive to maintain 99.9% uptime for our SaaS product. Scheduled maintenance will be communicated to customers in advance via email or through our service dashboard. In the event of emergency maintenance, we will make every effort to minimize service disruption and communicate updates promptly to affected customers.

RESTRICTIONS. You may not copy, modify, distribute, sell, lease, rent, or transfer the Software, or any part thereof. You may not reverse engineer, decompile, disassemble, or attempt to discover the source code of the Software, or create derivative works based on the Software.

PROPRIETARY RIGHTS. The Software and any related documentation are the property of Company or its licensors and are protected by copyright laws and international treaties. You agree that all right, title, and interest in and to the Software and any related documentation, including associated intellectual property rights, belong exclusively to Company or its licensors.

WARRANTY DISCLAIMER. THE SOFTWARE AND ANY RELATED SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. COMPANY DOES NOT WARRANT THAT THE SOFTWARE OR ANY RELATED SERVICES WILL MEET YOUR REQUIREMENTS, OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

LIMITATION OF LIABILITY. IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE OR SERVICES, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

UPDATES. Company may, in its sole discretion, provide updates to the Software. Any such updates will be provided in accordance with Company's standard update policies, as may be amended from time to time.

TERMINATION. These Terms are effective until terminated. You may terminate these Terms at any time by canceling your subscription in accordance with Company's cancellation policy. Company may terminate these Terms immediately upon notice to you if you breach any of the terms or conditions of these Terms.

GOVERNING LAW. These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Company is located, without giving effect to its conflict of laws provisions.

ENTIRE AGREEMENT. These Terms constitute the entire agreement between you and Company with respect to the Software and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Company.

MODIFICATION. Company reserves the right to modify these Terms at any time by posting a new version on its website or by providing notice to you. Your continued use of the Software after such modification will constitute your acceptance of the modified terms.
